Terms of Service

1. Acceptance of these Terms

These Terms of Service (the “Terms”) govern your access to and use of the website at https://singpass.biz (the “Site”) and the services offered on or through the Site (the “Services”). The Site and the Services are operated by DOUBLEAM AI AUTOMATION MARKETING PTE. LTD., a company incorporated in the Republic of Singapore with Unique Entity Number 202521700C, having its registered office at 60 Paya Lebar Road, #07–54, Paya Lebar Square, Singapore 409051 (“Doubleam”, “we”, “us” or “our”).

By accessing or using the Site or the Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree with these Terms, you must not access or use the Site or the Services.

2. Definitions

  • “Customer” means any person or business entity that enters into an engagement with Doubleam for the provision of the Services.
  • “End User” means an individual who authenticates via Singpass or MyInfo through an integration that we operate for a Customer.
  • “Order Form” means a written engagement letter, statement of work or similar document signed by Doubleam and a Customer that sets out the scope, fees and timeline of a specific engagement.
  • “Singpass” and “MyInfo” refer to the national digital identity and personal data services operated by the Government Technology Agency of Singapore.

3. Description of the Services

Doubleam provides a done-for-you integration service that enables Singapore-registered businesses to adopt Singpass and MyInfo for identity verification, customer onboarding and related workflows. The specific scope, deliverables, service levels and fees applicable to each Customer shall be set out in the relevant Order Form, which together with these Terms forms the entire agreement between the parties.

The Site itself is informational in nature. Browsing the Site does not create any contractual obligation on our part to provide the Services.

4. Eligibility and your account

You represent and warrant that:

  • you are at least eighteen (18) years of age and have the legal capacity to enter into binding contracts;
  • if you are using the Site or the Services on behalf of a business entity, you have the authority to bind that entity to these Terms;
  • all information you submit to us is accurate, current and complete.

5. Permitted and prohibited use

You may use the Site and the Services only for lawful purposes and in accordance with these Terms. You must not:

  • reverse-engineer, decompile, disassemble, copy, reproduce, adapt, translate, modify or create derivative works of the Site or any part of the Services, except as expressly permitted by law;
  • scrape, crawl, harvest or otherwise extract data from the Site by automated means other than through generally available search-engine indexing;
  • introduce any virus, worm, trojan, time bomb or other malicious code into the Site;
  • use the Site or the Services in any way that breaches any applicable Singaporean or foreign law, including without limitation the Singapore Personal Data Protection Act 2012, the Computer Misuse Act 1993 and any applicable sanctions or export-control regimes;
  • use the Services to verify or process Personal Data of any End User without a lawful purpose and the End User’s informed consent;
  • impersonate any person or misrepresent your affiliation with any person or entity.

6. Intellectual property

The Site, the Services and all content, code, design, trade marks, logos, text, graphics, images and other material made available on or through them (the “Doubleam Materials”) are the property of Doubleam or its licensors and are protected by Singapore and international copyright, trade mark, patent, trade secret and other intellectual property laws. Except for the limited licence expressly granted to you in these Terms, no rights in the Doubleam Materials are granted to you.

“Singpass”, “MyInfo” and any related names and marks are trade marks of the Government of Singapore. All references in the Site and the Services to such marks are for descriptive purposes only. Doubleam is an independent integration service provider and is neither affiliated with, endorsed by, nor acting on behalf of GovTech or the Government of Singapore.

7. Fees and payment

Fees for the Services are quoted in Singapore Dollars and are exclusive of Goods and Services Tax (GST) unless expressly stated otherwise. Payment terms shall be as set out in the applicable Order Form. Late payments may attract interest at the rate of one-point-five per cent (1.5%) per month or the maximum rate permitted by law, whichever is lower.

8. Third-party services

The Services depend on the continued availability of the Singpass and MyInfo APIs and other GovTech infrastructure. Doubleam does not control and is not responsible for any downtime, changes, suspension or discontinuation of those third-party services. We will use commercially reasonable efforts to adapt our Services in response to changes by GovTech.

9. Disclaimer of warranties

To the maximum extent permitted by law, the Site and the Services are provided on an “as is” and “as available” basis. Doubleam expressly disclaims all warranties of any kind, whether express or implied, including without limitation any warranty of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness or uninterrupted availability.

10. Limitation of liability

To the maximum extent permitted by law, in no event shall Doubleam, its directors, employees, agents or affiliates be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation damages for lost profits, lost data, business interruption or loss of goodwill, arising out of or in connection with your use of the Site or the Services, whether based on contract, tort (including negligence), statute or otherwise, even if we have been advised of the possibility of such damages.

Our aggregate liability to you under or in connection with these Terms and the Services shall not exceed the total fees paid by you to us under the applicable Order Form in the twelve (12) months preceding the event giving rise to the claim, or Singapore Dollars One Thousand (S$1,000), whichever is greater.

11. Indemnity

You shall indemnify, defend and hold harmless Doubleam and its directors, employees, agents and affiliates from and against all claims, losses, damages, liabilities, costs and expenses (including reasonable legal fees) arising out of or relating to: (a) your breach of these Terms or the applicable Order Form; (b) your breach of any law, including the PDPA; or (c) your misuse of data obtained through the Services.

12. Term and termination

These Terms take effect when you first access the Site or the Services and remain in effect for so long as you continue to access the Site or the Services. The term of any specific engagement shall be as set out in the relevant Order Form.

We may suspend or terminate your access to the Site or the Services immediately, without notice, if you materially breach these Terms, if required by law, or if we reasonably determine that your continued use presents a risk to us or to other users.

13. Changes to the Services and these Terms

We may modify the Site, the Services or these Terms at any time. Material changes will be communicated by posting an updated version of these Terms on the Site with a revised “last updated” date. Your continued use of the Site or the Services after the effective date of the updated Terms constitutes your acceptance of the updated Terms.

14. Governing law and jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict-of-laws principles. Any dispute, controversy or claim arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of Singapore.

15. Miscellaneous

These Terms, together with the Privacy Policy, PDPA Notice and any applicable Order Form, constitute the entire agreement between you and Doubleam in relation to the subject matter of these Terms and supersede all prior discussions, representations and understandings. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
